INTERNATIONAL BUSINESS AT BIG HARVEST FERTILIZERS

BIG HARVEST FERTILIZERS, is an international supplier of agriculture products, commodities, equipment and services for agriculture and farming, through our International business Department and policies.

We believe that quality and price play an immense role on the viability of agriculture and farming in general, as also on the development of the AFRICA Continent in pursuit of Food Self-Sufficiency achievement, and perhaps at a later stage with further work, become the food basket of the world through exports.

We also believe that through excellent Procurement, quality can excel on the products we sell, and through Partnering and collaborating with Refineries and Traders in other Countries, as buying big volumes/ quantities, we can obtain great quality products up to 50% cheaper than one find in the local markets. Therefore, by selling big volumes, we reduce our margin and pass on fantastic deals to our Customers/ Buyers.

We have Partnerships and Agreements with Big Companies on the supply chain around the World, in various Countries as, Holland, Poland, Brazil, India, Morocco, Egypt, Saudi Arabia, Portugal, Russia, England and others. Our supply portfolio is growing, and through the negotiation of better deals, we are able to give better pricing to our Customers.

1.A. MINIMUM VOLUME OF INTERNATIONAL BUSINESS ORDERS.

INTERNATIONAL BUSINESS ORDERS must conform to a minimum of 1.000 metric Tonnes up to 25.000 Metric tonnes (which is the loading capacity per shipment). We can supply huge amounts/ volumes if contracted, of 600.000 Metric Tonnes and above.

1.B. SHIPMENTS PREPARATION, INSURANCE AND FREIGHT.

• Shipments of up to 25.000 tonnes may take between 15 and up to 30 days to prepare.
• All Contract shipments are transported (CIF) COST, INSURANCE & FREIGHT, to any Sea Port in the world.
• Shipments take from 25 to 30 days to arrive at the destination Port of the Customers choice (from the last day of loading the vessel).
• All shipments are insured against all risks.

1.C. CURRENCY OF PAYMENTS OF PRODUCTS, COMMODITIES AND EQUIPMENT - PRICING ON INTERNATIONAL BUSINESS.

The prices given and are payable in USA Dollar per metric ton. All prices include" CIF (Cost, Insurance & Freight) up to the destination port, unless stated and agreed upon between the Buyer and the Seller.

2.A. BIG HARVEST FERTILIZERS & AGRI PRODUCTS DISTRIBUTORS (PTY) LTD will post on their website, WhatsApp Groups, Facebook, Instagram and via direct email messaging to certain customers, the list of all available/ obtainable products and commodities and their pricing, weekly to monthly. The last price listed will apply.

2.B. Once the customer decide on which products or commodities to buy, He/ She will send us a (LOI), Letter of Intent certifying the products or commodities wanted, quantity, specifications required and disclosing method of payment.

2 .C. BIG HARVEST FERTILIZERS will respond with a (FCO) Full Corporate Offer, stating all the products required, quality, quantities, specifications, certifications, verifications and all procedures to follow by Seller and Buyer.

2.D. Once the customer agree to all stated on the FCO, He/ She will request a Pro-Forma Invoice and a " Draft Contract from BIG HARVEST. The Draft Contract is then sent to the customer, whom will read it and analyse all the contents, do any amendments deemed necessary and in agreement with BIG HARVEST, and send the contract back to BIG HARVEST initialled on each page and with the signature of the responsible main Director and the Company stamp. The customer will also attach a copy of the front details of His/ Hers valid Passport. BIG HARVEST then will also sign and initial the contract and send it back to the Customer/ Buyer.

Then, the Customer/ Buyer will exercise one of the two methods of payment as agreed on contract between the two parties.

3.A.1. WT/TT (Wire Transfer / Telegraphic Transfer) - Method of payment:

• TT 30% upfront payment after receival of Pro- Forma Invoice and signed Contract by both parties.
• Another 30% on receival of standard shipping documents.
• 40% balance on receival and confirmation of goods at arrival sea Port.
• N.B.- A holding fee of up to 2% of total deal must be paid upfront with the first payment, for the Seller to hold the price and quantity supply constant for the duration of the contract, if up to 150.000 Metric Tonnes or six months.
• If the contract exceeds 150.000 M/Tonnes or more than 6 months, after that period all prices must be re-negotiated.

3.B.2. LETTERS OF CREDIT - Method of payment:

3.C.3. Letters of credit acceptable by BIG HARVEST FERTILIZERS & AGRI PRODUCT DISTRIBUTORS (PTY) LTD:

• SBLC/MT760 TRANSFERABLE
• DLC- MT700 TRANSFERABLE (366 jours)
• DLC-MT700 non TRANSFERABLE (90 jours)
• LC TRANSFERABLE (90jours)

The Customer/ Buyer make arrangements and the necessary securities with His/ her BANK, and requests one of the above mentioned Credit Letters to hand to BIG HARVEST FERTILIZERS BANK, as form of guaranteed payment. Payment to be released to Seller within 24 hours of shipment arrival at the Sea Port od destination.

The preparation of the shipment commences when the Buyer's Bank presents the legal and valid Letter of Credit, to the example given above.

4.A. ISSUE OF VERIFICATIONS AND CERTIFICATIONS REQUIRED.

DOCUMENTS TO BE ISSUED: Phytosanitary Certificate -SGS Certificate -Commercial Invoice -Packing List -Bill Of Lading -Certificate Of Quality, Quantity And Weight -Certificate Of Origin -Insurance Policy certificate. Guarantee of quality. Quality of Goods, dispatched by the Seller should be in full conformity with its standards or norms and should be confirmed by certificate of quality issued by Seller. Dispatched Goods have to be produced not later than three (3) months before its shipment with Specification attachment.

BIG HARVEST FERTILIZERS is enlisted with the International Chamber of Commerce, Fertasa (Fertilizers Association of Southern Africa), in addition to be enlisted with SGS and AMSPEC.

BIG HARVEST FERTILIZERS is a South Africa Government official supplier holding a B-BEEE Level 1 Certification.

BIG HARVEST FERTILIZERS is a proud associate and collaborator of " THE FARMERS BANK.

4.B. PACKING AND MARKING.
The Goods will be shipped in 25 kg pp, 50kg pp, 500 kg pp or 1000 kg pp bags, packing appropriate to character of the delivered Goods.

4.B TERMS OF DELIVERY:
The goods are delivered on CIF to the port of destination and according to Incoterms-2010. "Cost, Insurance and Freight" means that the seller has supplied the consignment when the goods go across the ship's rail in the port of shipment. The seller must pay all costs and freight necessary to deliver the goods at the agreed port of destination. Under the CIF rules, the seller must also procure marine insurance against the risk of the buyer in connection with the accidental loss of or damage to the goods during transporting. Delivery of goods sold under this contract is made by the Carrier hired by the Seller at its own expense.
